Seen by vsartech is a software application layer that connects directly with official WhatsApp developer APIs (including Meta Cloud API and approved tier-1 BSP gateways). We do not send messages independently of workflows you establish. You are solely responsible for ensuring your business practices comply with WhatsApp Business and Meta Platform policies.
1. Service Description
VSAR Technologies Private Limited (“VSAR Tech”, “we”, “us”) provides software tooling — including trigger-based workflow automation, collaborative customer support inboxes, CRM data synchronization, and developer webhooks — that operate over a business's own WhatsApp Business account (the “Platform”).
VSAR Tech is not an official WhatsApp Business Solution Provider (BSP). We integrate with official Meta Cloud APIs and approved provider networks to allow workspaces to manage communications using their own verified WhatsApp Business Account (WABA).
2. Eligibility & Account Registration
To create a workspace and access Platform features:
- You must be a legally registered commercial enterprise, organization, or authorized sole proprietor.
- The individual registering must hold valid corporate authorization to bind the business entity to these terms.
- You must maintain the confidentiality of administrative login credentials, API secrets, and webhook tokens.
- You agree to notify VSAR Tech immediately of any unauthorized workspace access or security compromise.
3. Acceptable Use Policy
By accessing the Platform, you strictly agree and warrant that you will:
Prior Recorded Consent: Only send proactive outbound notifications to recipients who have given explicit, verifiable, opt-in consent under relevant data protection and telecom regulations.
Template Compliance: Only transmit business-initiated messages using templates formally approved by Meta, under their designated categories (Marketing, Utility, Authentication, or Service).
Immediate Opt-Out Processing: Honor all STOP, UNSUBSCRIBE, or customer revocation requests immediately and without delay.
No Spam or Bulk Cold Messaging: Never use the Platform to broadcast unsolicited commercial advertisements, phishing content, lottery notifications, or scraped contact directories.
No Reselling: Not sublicense, lease, or offer white-label multi-tenant sub-access without separate written enterprise licensing from VSAR Tech.
4. Compliance Responsibility
You maintain sole legal and contractual responsibility for the content of your communications, consent logs, customer database integrity, and adherence to the WhatsApp Business Policy, Commerce Policy, and Meta Platform Terms.
While Seen by vsartech engineers automated compliance safeguards (such as suppression lists and service window timers), these tools do not replace your obligation to comply with local advertising and telecom rules (including TRAI DLT mandates in India).
5. Fees & Billing
Fees for Platform software access are established in your workspace subscription tier or customized enterprise proposal.
Meta Conversation Charges: Fees imposed directly by Meta Platforms, Inc. (or your chosen Business Solution Provider) for 24-hour customer conversation windows are separate from VSAR Tech software fees and are billed directly via your linked Meta Business payment method.
6. Intellectual Property
VSAR Tech retains full intellectual property ownership, patents, trademarks, source code, and design rights in the Platform and documentation.
You retain full and exclusive ownership of your customer lists, corporate brand assets, message content, and proprietary business databases connected to the Platform.
7. Suspension & Termination
VSAR Tech reserves the right to immediately suspend or permanently revoke workspace access if:
- Your account violates the Acceptable Use Policy or generates sustained high spam report rates on Meta infrastructure.
- Meta Platforms, Inc. terminates or restricts your underlying WhatsApp Business Account (WABA).
- You fail to remedy payment delinquencies after written notice.
You may terminate your workspace at any time through your dashboard settings. Upon termination, outbound automations halt and active webhooks are deactivated.
8. Disclaimers & Warranties
THE PLATFORM IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER STATUTORY, EXPRESS, OR IMPLIED.
VSAR Tech does not warrant that Meta Platforms, Inc. will approve any particular phone number, display name, official business green checkmark badge, or template submission, as approvals remain under Meta's exclusive discretion.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VSAR TECH, ITS DIRECTORS, EMPLOYEES, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS REPUTATION) ARISING OUT OF OR IN CONNECTION WITH PLATFORM USAGE.
Our total aggregate liability for all claims under these terms shall be limited to the total software subscription fees paid by you to VSAR Tech during the twelve (12) months preceding the claim event.
10. Changes to These Terms
We may revise these Terms of Service periodically to accommodate new features, security protocols, or legal statutes. We will provide at least fifteen (15) days advance notice for material amendments through the dashboard or email dispatch. Continued usage after the effective date constitutes conclusive acceptance.
11. Governing Law & Jurisdiction
These Terms of Service and any contractual disputes arising hereunder shall be governed by and construed in accordance with the substantive laws of India, without giving effect to conflict-of-law principles.
The competent courts in Mumbai, Maharashtra, India shall have exclusive jurisdiction over any legal proceedings arising out of or relating to these terms.
